Here are some of the professional work we have done

Highlights of some of the professional work that had been done by Partners and Associates in the firm in recent years are stated hereunder as follows:

  • Participated in the requisite regulatory compliance for the construction and successful commencement of the operations of the N14 Billion 8.5MW Asaba Power Plant, Delta State.

  •  Successfully obtained the award of N5.6 Billion for a client against the Securities and Exchange Commission (SEC) on the ground of SEC’s failure to perform its statutory duty under the Investments and Securities Act 2007.

  • Represented the Asset Management Corporation of Nigeria (AMCON) in various suits that were initiated for recovery of bad debts owed to moribund or liquidated Nigerian Banks which debts had been bought over by AMCON.

  • Participated as Co-Counsel in the Presidential Legal Team that defended President Muhammed Buhari’s election at the Presidential Election Tribunal in 2020.

  • Advised Bank PHB in 2010 on its divestiture program in the Bank’s bid to divest from eight of its subsidiaries. The brief entailed conduct of Legal Due Diligence, Forensic Audit, Tax Audit, Investigation of Titles, Investigation of Status, Labour/ Insurance Issues, Investigation of Potential Third Party Claims / Liabilities, Statutory Compliance, Investigation of Buyer(s), Pre-Divestiture and Liquidation Issues, Amendment of Memorandum & Articles Of Association , Capital Restructuring, Preparation of Information Memorandum and Bid Documents, Liquidation and General Legal Advice.

  • Represented the Claimant Community against Shell Petroleum Development Company of Nigeria Limited (SPDC) in 2010 in the prosecution, negotiation and settlement of the N20 billion (approx. US$134 million) claim for crude oil spillage made against SPDC by the accredited representatives of the People of Bodo City and the Bodo Youth Federation in respect of the crude oil spillage incident that occurred on 28th August 2008 at Bomu—Bonny Pipeline at Bodo Creek, Gokana Local Government Area, Rivers State, Nigeria.

  • Registered a South African multi-national company named Hemingway’s Safaris Africa Limited in Nigeria in 2009 as a subsidiary of The Vacation Group (Pty) Limited of South Africa. Procured all statutory licenses and processed necessary Business Permits, Expatriate Quotas and Work Permits at the Federal Ministry of Interior and the Nigeria Immigration Service.

  • Advised as Solicitors to the Bank in Intercontinental Bank Plc’s 2006 unique three-in-one Private Placement, Offer by way of Subscription and Irredeemable Non Cumulative Convertible Preference Shares to enable the Bank raise N50 Billion (US$367.7 million).

  • Advised and drafted contract documents in respect of HSBC Bank (UK)/Intercontinental Bank Plc Bank Guarantee of US$100 million in respect of the development of Gateway Paradise City at Km 53/56, Lagos–Ibadan Expressway.

  • Advised and drafted contract documents in respect of the US$100 million Facility Agreement between ICICI Bank UK Plc (a wholly owned subsidiary of ICICI Bank – the largest private bank in India) and its Offshore Branch in South Africa and First Bank of Nigeria Plc.

  • Advised and drafted contract documents in respect of the US$12 million Term Loan Facility granted by BNP Paribas (the largest bank in France) to Niger Delta Petroleum Resources Limited and guaranteed by Intercontinental Bank Plc.

  • Advised on the Facility Agreement between ICICI Bank Limited of Mumbai, India (the largest private bank in India) and its Offshore Branch in Bahrain and Zenith Bank Plc for the purchase of Promissory Notes.

  • Acted successfully as Lead Counsel for the Plaintiffs in a debt recovery suit that was instituted by a consortium of Banks for the recovery of a syndicated loan of N4.2 billion that was granted to the Power Holding Company of Nigeria.

  • Advised fourteen (14) Primary Mortgage Institutions on various Real Estate Developments spread all over Nigeria.

  • Advised as Solicitors to the Bank in Intercontinental Bank Plc’s 2004 Public Offer of 2,750,000,000 ordinary shares of 50 kobo each.

  • Acted successfully as Lead Counsel for the Plaintiffs and the Receiver in a debt recovery/insolvency action that was instituted by a consortium of Banks in respect of a syndicated multi-billion naira loan that was granted to Daar Communications (owners of African Independent Television (AIT) and RayPower FM Radio
